These Terms of Service (“Terms”) govern access to FiveX websites and paid services operated by FiveX B.V., including policies referenced via hyperlink.

Introduction

Throughout the website, the terms "we," "us" and "our" refer to FiveX. FiveX offers this website—including all information, tools and services available to you, the user—subject to agreement with all policies and notices referenced here.

By visiting the website or purchasing a subscription you participate in the "Service" and agree to these Terms (including hyperlink policies). The Terms apply to every user of the Website, whether browser, merchant, marketplace partner, subcontractor or other contributor.

Read them carefully prior to accessing or purchasing. Continued access constitutes acceptance of the entire agreement. Declining any portion means you cannot use the Website or FiveX SaaS programmes. Where these Terms constitute an offer, acceptance shall be confined to exactly these Terms.

Agreement between parties

Subject to the Agreement, FiveX shall use commercially reasonable endeavours to provision the subscribed platform configuration.

FiveX commits reasonable efforts toward availability of contracted services alongside standard-support channels described in published plans.

Feature entitlement follows the SKU / subscription displayed on FiveX-controlled pricing pages.

Unless otherwise stipulated, prepaid annual licences convert to successive one-month rollover windows with monthly termination rights articulated in quotations.

Upon fee payment FiveX grants a limited, personal, non-transferable, non-exclusive and non-sublicensable licence to access the SaaS footprint consistent with lawful use.

Fees, invoicing and credit risk

Quoted rates for companies usually exclude turnover tax (VAT); consumer pricing states VAT-inclusive totals unless explicitly varied in writing.

FiveX bills per agreed cadence—typically annual upfront or monthly arrears—with optional advance-payment milestones preceding complex onboarding.

If an advance-payment schedule exists, commencement of professional services awaits receipt in full.

Estimates or quotes do not confer binding expectations unless hardened into contracting schedules.

FiveX may apply annual indexation tethered to CPI / comparable benchmarks; mid-term increases require written mechanisms in the paperwork.

Invoices nominate bank coordinates; payment is immediate without unauthorised set-off.

Insolvency petitions, cessation or analogous credit events crystallise arrears simultaneously.

Default interest, suspension and eventual termination rights roll from outstanding payment clauses in executed order documents.

Intellectual property

Except for licences expressly conferred, FiveX retains all rights in platforms, SaaS artefacts, telemetry, tooling, ancillary documentation and support artefacts.

Customer obtains only those usage rights enumerated in Agreements; no implied licences arise.

Affiliates, contractors and unauthorised individuals must not dissect, benchmark, circumvent, scrape, emulate or reverse-engineer FiveX artefacts except where mandatory law forbids contractual restraint.

Customer shall not commercially timeshare or white-label resale of the SaaS unless separately licensed.

Customer Data remains vested in merchant; notwithstanding, Customer licences FiveX a royalty-free worldwide right to anonymise/host/store copies strictly to render service, troubleshoot, optimise roadmaps or evidence compliance.

FiveX reserves capacity to prune unlawful or malware-bearing uploads without notice.

Customer warrants sufficient rights toward supplied datasets and indemnifies FiveX against third-party IP/privacy grievances stemming from unlawful uploads.

Aggregated benchmarking statistics may be compiled without re-identifying identifiable natural persons absent separate consent regimes.

Disclaimer of warranties and liability carve-outs

Services meet generally accepted SaaS craftsmanship but perpetual uptime or latent-defect eradication outside contracted SLAs shall not be implied.

FiveX endeavours to remediate anomalies within timelines proportionate to severity but cannot waive liability mandated by irresistible legislation.

Advisory artefacts informed by erroneous Customer-supplied metrics never guarantee commercial outcomes—you alone choose whether to ingest recommendations.

Force majeure, dependency outages surpassing reasonable redundancy or Customer misconfigurations postpone obligations without penalty.

Temporary workarounds may qualify as remediation as long as materially equivalent throughput returns.

Unless separately contracted, SaaS licences do not include forensic reconstruction for corrupted Customer exports—maintain external backups accordingly.

Where liability cannot be waived, prevailing ceilings follow executed order-forms or overriding mandatory consumer protection statutes.

Independent third-party services

Linked services or integrations remain governed exclusively by counterparties; FiveX bears no responsibility for outages, leakage or policy divergence outside narrowly configured OAuth scopes.

Duration, suspension and winding-up

Term duration ties to onboarding schedules and subscription artefacts; automatic renewal cycles occur unless lawful notice terminates.

Material breach—including chronic non-payment—authorises termination or interim suspension safeguarding infrastructure integrity.

Bankruptcy, rehabilitation or mandatory dissolution events permit instantaneous cancellation without penalty to the innocent party beyond settling lawful debts.

Upon expiry, licences terminate; accrued fees survive and must be honoured.

Accounts may deactivate without immediate eradication enabling later re-enablement contingent on privacy timelines.

Transition assistance—including export windows—requires separately scoped professional services engagements.
